Terms of Service

1. Acceptance of Terms

By downloading, accessing, and using the GiftyAI mobile application ("App"), you accept and agree to be bound by and abide by the terms and conditions of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Use License

Permission is granted to download one copy of the materials (information or software) on GiftyAI for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modifying or copying the materials
• Using the materials for any commercial purpose or for any public display
• Attempting to decompile or reverse engineer any software contained on GiftyAI
• Removing any copyright or other proprietary notations from the materials
• Transferring the materials to another person or "mirroring" the materials on any other server

3. Sparks, Rewards, and Gift Cards

The App may permit users to earn, accumulate, and redeem virtual currency, points, credits, or similar benefits, including without limitation "Sparks" (collectively, "Rewards"), and to exchange such Rewards for gift cards or other offerings made available through the App (collectively, "Redeemed Rewards"). Sparks and other unredeemed Rewards are virtual benefits that have no cash value, are not your property, and do not constitute a deposit or other financial product. Your ability to earn, hold, or redeem Rewards is a limited, revocable, non-transferable, and non-sublicensable privilege granted solely by Chipino Labs ("Chipino") in its discretion.

Redeemed Rewards may include gift cards or similar instruments that carry a face or cash value subject to the terms of the applicable issuer or provider. Notwithstanding the foregoing, Chipino reserves the right, at any time and for any reason, with or without prior notice, to modify, suspend, discontinue, add, remove, replace, or otherwise alter any Rewards program, earning mechanism, redemption option, gift card catalog, promotional offering, or other benefit made available through the App.

Chipino further reserves the right, at any time and for any reason, with or without prior notice, to cancel, reverse, reclaim, withhold, deactivate, or otherwise take away any Redeemed Reward, including any gift card, that remains available, unused, unredeemed with the issuer, unfulfilled, or otherwise recoverable, and to adjust, deduct, or forfeit any associated Sparks, points, or other Rewards balances. To the fullest extent permitted by applicable law, Chipino shall have no obligation to provide substitute consideration, compensation, or reimbursement in connection with any such action, including where such action is taken due to fraud, abuse, prohibited automation, or other violation of these Terms of Service.

4. Prohibited Conduct and Fair Use

You agree to use the App solely in a lawful, fair, and good-faith manner. Without limiting the generality of the foregoing, you shall not, and shall not attempt to, directly or indirectly:

• Use any bots, scripts, macros, scrapers, emulators, automated software, artificial intelligence agents, or other automated means, processes, or devices to access the App, generate activity, or earn, farm, accumulate, transfer, or redeem Rewards
• Exploit, abuse, manipulate, or interfere with any Rewards-earning mechanism, rate limit, anti-fraud control, or other App feature through unauthorized, deceptive, or unfair methods
• Circumvent, disable, or otherwise interfere with any security, integrity, or fraud-prevention measures implemented by Chipino

Any use of automated software or similar methods to earn Rewards is strictly prohibited. Chipino may investigate suspected violations and may, without limitation, forfeit Rewards, reverse Redeemed Rewards, suspend or terminate accounts, and pursue any other remedies available at law or in equity.

5. Account Suspension, Termination, and Forfeiture

Chipino reserves the right, at any time and for any reason, with or without prior notice and without liability to you, to suspend, disable, restrict, or permanently remove any user account, and to cancel, forfeit, reclaim, or otherwise eliminate any Sparks, points, Rewards balances, Redeemed Rewards (to the extent still available or recoverable), progress, access rights, or related benefits associated with such account. Grounds for such action may include, without limitation, violation of these Terms of Service, suspected fraud or abuse, use of prohibited automated methods, compromise of account security, inactivity, operational or legal requirements, or any other reason determined by Chipino in its sole discretion. Upon termination or removal of an account, your right to access the App and any associated Rewards shall immediately cease, except as otherwise required by applicable law.

6. Disclaimer

The materials on GiftyAI are provided on an 'as is' basis. GiftyAI makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

7. Limitations

In no event shall GiftyAI or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on GiftyAI, even if GiftyAI or an authorized representative has been notified orally or in writing of the possibility of such damage.

8. Accuracy of Materials

The materials appearing on GiftyAI could include technical, typographical, or photographic errors. GiftyAI does not warrant that any of the materials on GiftyAI are accurate, complete, or current. GiftyAI may make changes to the materials contained on GiftyAI at any time without notice.

9. Links

GiftyAI has not reviewed all of the sites linked to its website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by GiftyAI of the site. Use of any such linked website is at the user's own risk.

10. Modifications

GiftyAI may revise these terms of service for GiftyAI at any time without notice. By using this App, you are agreeing to be bound by the then current version of these terms of service.

11. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of the jurisdiction in which Chipino Labs operates, and you irrevocably submit to the exclusive jurisdiction of the courts in that location.
